市场经济就是交易经济，合同就是交易的法律形式，因此，合同作为创造财富的媒介无时不在、无处不在，合同不仅是个人或企业生存和发展的依靠，而且也是主要的社会经济现象。西方有句名言，财富的一半来自于合同。个人或企业要生存和发展，开拓市场获取利润固然重要，但如何保证权益不被侵害才是个人的立身之本和企业得以发展的基础。因此，做好合同法律风险防范，是维护个人或企业合法权益的最基本的要求。市场经济主体应该充分运用各种法律手段规避和化解经营管理中存在的风险，切实维护其自身合法权益。

The market economy shares the same meaning with the transaction economy, and the contract is the legal form of transaction. As a medium for wealth creation, therefore, the contract could be seen everywhere. Contracts are not only the dependence of individuals or enterprises on their survival and development, but also the main socio-economic phenomenon.There goes a famous west saying that half of wealth comes from contracts. Though it is important to open up the market to obtain profits, ensuring that rights and interests are not infringed is the foundation of the individual's standing and the basis for the development of the enterprise.

欲防范合同法律风险，不得不明晰何谓风险。长期以来，我们对此早已耳熟能详却又语焉不详。21世纪以降，法律风险一词就开始在我国的法律界广为流行，但这种流行仍旧无法回避它所存在的最为根本的问题，即法律风险的基本概念等内在特征和外延仍旧处于不确定的状态。因此，在对合同的法律意义与经济意义进行分析后，本课程拟以合同的精神出发，对合同法律风险予以专题化分析，分别对合同风险管理的基本理念、一般技能、合同条款的起草与审查、签字盖章的学问、合同纠纷的处理进行研讨。课程着重指引学生了解合同风险管理的基本知识，以实践为导向，强化合同风险的管理意识、提高风险管理的识别能力、提升合同风险管理的技巧、掌握合同风险化解的钥匙，以期向学生展示全面合同风险管理的图景。

In order to prevent legal risks of contract, it is necessary to clarify the meaning of the risk.We have been familiar with this but faild to make it clear for a long time.Since the 21st century, the term “legal risk”has become popular in China's legal community, but such popularity still cannot avoid its most fundamental problem, that is, the inherent characteristics and extensions of the basic concepts of legal risk still remain uncertain.Consequently, after analyzing the legal and economic significance of the contract, this course intends to start with the spirit of the contract and conducts a thematic analysis of the legal risks of the contract,then separately discusses the basic notion and general skills of risk management of contracts, the drafting and review of contract terms, the knowledge of signatures and seals, and the handling of contract disputes. Additionally, the course focuses on guiding students to understand the basics of the management of contract risk,and based on practice, strengthening their risk management awarenes,improving their ability to identify risk,enhancing their skills of risk management and giving them the the key to the resolution of contract risks with a view to showing them the comprehensive picture of risk management of contract.

  贯彻民商法与刑事法整体把握的法律理念，组建理论研究深入与实务经验丰富的教学团队，借由案例分析方法、情景模拟方法等教学方法，以学生为中心，以教师为主导，对合同风险管理的基本理念、合同风险管理的一般技能、合同条款的起草与审查、签字盖章的学问、合同纠纷的处理等专题进行研讨，指引学生了解合同风险管理的基本知识，以实践为导向，强化合同风险的管理意识、提高风险管理的识别能力、提升合同风险管理的技巧，向学生展示全面合同风险管理的图景。

The teaching objectives are to implement the legal idea that consider the civil and commercial law and the criminal law as a whole, and set up a teaching group with in-depth theoretical research and practical experience. Through teaching methods such as case analysis and scenario simulation,this course will make student-centered and teacher-led discussions on the basic notion and general skills of legal risk management of contracts, the drafting and review of contract terms, the knowledge of signatures and seals, and the handling of contract disputes.Based on practice,students will be guided to understand the basic knowledge of the management of contract risk,strengthen awareness and improve the ability to identify risks and enhance skills of risk management with a view to showing them the comprehensive picture of risk management of contract.

• 本课程以“案例+法理+法律”的授课逻辑，深入浅出地讲解合同法律风险管理的相关知识，对于预备知识并没有强制性的要求，即便是没有法律基础知识和管理学基础知识的同学也可以轻松听懂并掌握课程内容。

Q : 本课程是不是只针对法学专业和管理学专业的学生？

A : 非也！“不识庐山真面目，只缘身在此山中”，其实我们每个人每天都在和合同打交道，衣食住行样样离不开合同，所以本课程不分专业、年龄，建议每个人都可以修习本课程，更好地掌握自己的生活密码。

Q : 本课程难度如何？

A : 本课程内容分为初阶-中阶-高阶三个层次。课程面向社会大众，视频课程内容由浅入深、有趣有料，每课在10-20分钟之间，随时随地可以展开学习。在基础视频看完之后，本课程也为学有余力的同学设置了中阶难度的【挑战】讨论板块，以及高阶难度的【拓展】阅读板块，力求让同学们可以学得开心、学得尽兴。

Q : 挑战与拓展的板块如果不会做会影响课程最终成绩吗？
